Job Description

Responsibilities

  • Manage Secretarial Matters: Ensure compliance with the relevant regulations such as the Companies Act, company’s constitution, Listing Rules of SGX-ST, Code of Corporate Governance, Securities Future Act, Code of Collective Scheme for listed entity and private companies in the portfolio.
  • Board and Board Committees Meeting Management: Organise, coordinate and oversee the end-to-end Board and Board committee meetings. Prepare notices, agendas, material and record proceedings when required.
  • Shareholders’ Meeting Support: Support the organization of shareholders’ meeting of the listed entity.
  • Resolution Preparation: Prepare, review and circulate the resolutions to be approved by Board, Board committees and/or shareholders.
  • Regulatory Filings: Prepare, review and submit the regulatory filings in respect of REIT Manager directors as required under MAS guidelines and regulations. 
  • Secretarial Documentation: Prepare relevant secretarial documentation for director and executive compensation, e.g. performance bonus plans.
  • Announcement Drafting and Review: Assist in the drafting and/or review of announcements of the listed entity, including but not limited to MAS forms relating to the change of unitholding interest for REIT manager, directors or substantial shareholders and release all announcements via SGXnet.
  • Annual Report and Circular to Unitholders Preparation: Prepare or review sections of the annual report or circular to unitholders that require inputs by secretarial. 
  • Senior Management and Board Support: Communicate directly and independently with senior management and directors to support the senior management and board in various matters.
  • Corporate Secretarial Coordination: Coordination and communication on Singapore and various overseas entities to organize and manage all corporate secretarial related matters. Supervise and coordinate with external service providers on the provision of corporate secretarial services.
  • Other Assignments: Manage other company secretarial or compliance-related assignments and support transaction-related matters.

Requirements

  • At least 5 years of relevant working experience.
  • Professional Corporate Secretariat certifications or equivalent
  • Experience managing the corporate secretarial matters of listed entities, in particular, prior experience in handling SGX-listed REITs would be an advantage.
  • Excellent interpersonal and communication skills.
  • Works well under pressure and adaptable to changes in a team setting
