Vantage is looking for a self-starter in the role of a Paralegal, Contract Analyst to be part of the Legal Department. In addition to providing excellent attention to detail, this candidate must bring a proactive, business and solution-oriented mindset to all matters.  In this role, the candidate will work closely across departments, including Development, Operations, Procurement and Finance, to draft, review, negotiate and manage vendor contracts (including master agreements, statements of works, variation orders, NDAs etc.) and support the Legal Department in critical transactions (including bank financings and M&A).

Essential Job Functions

  • Vendor Contracts:
    • Draft, review, and negotiate commercial vendor contracts (e.g. master agreements, statements of works, variation orders, NDAs etc.), including reviewing proposals and other related documents for validation prior to the issuance of a vendor contract.
    • Collaborate with various departments on the preparation and execution of vendor contracts, and coordinate the management and storage of executed vendor contracts
  • Transactions:
    • Support colleagues in the Legal Department on critical, fast-paced and complex transactions (including bank financings and M&A)

Duties

  • Vendor Contracts:
    • Assist with the preparation and execution of vendor contracts
    • Analyzing quotes and change order requests in relation to vendor contracts
    • Facilitate Sharepoint and other contract management process flow (e.g. DocuSign, IronClad etc.) for vendor contracts
    • Administer and track workflow of contracts to make sure all are fully executed
  • Transactions:
    • Facilitate the management of and consolidation of signature pages, conditions precedent, and completion deliverables
    • Review of corporate resolutions
    • Data room management
    • General coordination and consolidation tasks
  • General administrative tasks

Job Requirements

  • Minimum 3-5 years prior experience in a paralegal, contract administration or contract analyst role
  • Licensed attorney, or Bachelor of Laws (LLB)/Juris Doctor (JD) graduate
  • Experience in (i) independently drafting, reviewing, negotiating and managing commercial contracts; and (ii) supporting critical legal transactions (e.g. M&A and bank financing transactions)
  • Experience utilizing contract management software (e.g. IronClad), and working with Microsoft applications, DocuSign, SharePoint
  • Prior industry experience relating to data centers, construction, procurement and operations preferred
  • Ability to read, analyze, and interpret legal and technical documents
  • Strong written and verbal skills
  • Excellent organization, time management and problem-solving skills that enable the candidate to juggle multiple responsibilities at once and consistently meet tight deadlines
  • Strong attention to detail, takes ownership of responsibilities
