We are seeking a mid-level Managing Associate to join our dynamic ECM team, with a primary focus on India-related transactions. Based in our Singapore office, you will play a key role in advising international and Indian clients on equity capital raisings, regulatory compliance, and market-shaping deals. Key Responsibilities:
Technical
- Lead the drafting, review, and negotiation of transaction documents and offer documents, including prospectuses, offering memoranda, underwriting agreements, and regulatory filings.
- Conduct due diligence, manage deal execution, and provide strategic advice on ECM transactions such as IPOs, follow-on offerings, rights issues, and equity-linked instruments.
- Advise clients on regulatory frameworks and cross-border listing, while coordinating with local counsel as needed.
- Research, due diligence and information management.
Client Relationship Management
- Taking a lead role in advising the client under appropriate supervision.
- Providing commercial and legal advice to the client.
- Demonstrating thorough market knowledge to identify current trends and concerns in relevant industry sectors. Able to present ideas to the client to resolve current market issues and anticipate potential problems.
Business Development
- Participating in recruitment initiatives, client marketing and developing networks with other professionals, participating at conferences or professional organizations.
- Contributing to quality know-how and transaction bibles and their upkeep.
- Collaborate with cross-practice teams on integrated deals and contribute to business development initiatives.
Training
- Supervise junior associates and trainees, ensuring high standards of work, efficiency, and knowledge sharing within the team.; and
- Regularly giving and seeking clear performance feedback to/from others.
Qualifications and Experience
- Qualified lawyer with minimum 4 years of post-qualification experience (PQE) in ECM, gained at a top-tier international law firm.
- Strong background in ECM transactions, ideally with exposure to India-focused deals or emerging markets.
- Familiarity with key precedents, market standards, and regulatory bodies such as SEBI, BSE/NSE, and international exchanges.
- Dual qualification (e.g., England & Wales and India) would be advantageous but not essential.
- Proven ability to manage complex, multi-jurisdictional projects under tight deadlines.
