Programmers Force is seeking a licensed Hong Kong-based CPA or legal/tax consultancy firm to act as a Legal & Tax Compliance Consultant. The consultant will play a critical role in the setup and ongoing compliance of our new Hong Kong office, ensuring all operations meet local legal, regulatory, and financial obligations within the IT/SaaS sector.
This is a consultancy-based engagement, ideal for an expert or firm with proven experience in supporting tech companies with incorporation, tax filings, and compliance structuring in Hong Kong.
Scope of Work / Key Responsibilities:๐ Legal & Corporate Compliance- Handle company registration and incorporation with relevant Hong Kong authorities
- Advise on local company structure, shareholder agreements, and directorship compliance
- Draft or review legal documents such as NDAs, service contracts, and commercial agreements
- Ensure ongoing compliance with corporate governance, PDPO, and labour laws
- Act as liaison with company secretary, government agencies, or legal bodies as needed
- Manage profits tax, GST/VAT, and withholding tax matters for the Hong Kong entity
- Ensure timely filing of audited financials, annual returns, and corporate tax submissions
- Coordinate with external auditors and the Inland Revenue Department (IRD)
- Advise on international payment structuring and potential cross-border tax implications
- Support in opening corporate bank accounts and KYC documentation
- Provide guidance on employment contracts, local labour law, and visa matters (if any)
- Recommend compliance best practices for data protection and IT industry regulations
- Licensed CPA in Hong Kong (HKICPA) or Registered Law Firm/Consultant
- 3โ5+ years of experience advising international firms, preferably in technology or SaaS
- In-depth understanding of HK corporate law, employment regulations, and tax framework
- Excellent written and verbal communication skills in English; Cantonese proficiency is a plus
- Ability to work autonomously and deliver clear, actionable advice and documentation
- Previous consultancy work for startups, SaaS firms, or digital service provider.
- Knowledge of data privacy (PDPO) and digital services taxation
- Familiarity with IP structuring, cross-border payments, and group entity compliance
