Position Description

Vantage Data Centers is seeking a highly motivated legal professional to join our Legal Department. The ideal candidate will have substantial experience in financing, fund raising, and capital markets. We are looking for a team player with a positive attitude towards learning, who demonstrates versatility and a strong business-oriented mindset. The successful candidate will work primarily with the Capital Markets team and external counsel to review, negotiate, and manage lender and bank financing agreements (including, to closing), as well as have the versatility to support a wide range of corporate contracts including vendor contracts collaborating closely across departments, including Development, Operations, Procurement and Finance, to draft, review, negotiate and manage vendor contracts (including master agreements, statements of works, variation orders, NDAs etc.) and support the Legal Department in critical transactions.

Essential Job Functions

Financing:

  • Review, draft, and negotiate a broad range of financing documents, including lender/bank financing agreements and all related security and ancillary documentation, in collaboration with the Capital Markets team.

  • Coordinate and manage the full lifecycle of financing transactions, from inception to closing, ensuring seamless execution and compliance with internal controls.

  • Liaise with external counsel and financial institutions as required.

Corporate & Vendor Contracts:

  • Draft, review, and negotiate a diverse array of corporate and commercial contracts (e.g., vendor agreements, master agreements, statements of work, NDAs, variation orders), ensuring alignment with business objectives and risk management policies.

  • Work closely with cross-functional teams—including Development, Operations, Procurement, and Finance—to support contract preparation, execution, and management.

  • Oversee the organization and maintenance of executed contracts and related documentation.

General Corporate Support:

  • Provide legal support on a variety of corporate matters beyond financing, demonstrating adaptability and the ability to manage multiple workstreams.

  • Advise internal stakeholders on contract interpretation, risk mitigation, and compliance issues.

Job Requirements

Experience:

  • 4–6 years of post-qualification experience at a reputable law firm or 6–8 years of relevant in-house legal experience, with a primary focus on financing, fund raising, or capital markets transactions.

  • Demonstrated expertise in reviewing, drafting, negotiating, and managing financing transactions and related security documentation.

  • Proven ability to independently handle a wide range of commercial and corporate contracts beyond financing matters.

  • Experience working with contract management systems (e.g., IronClad), and proficiency in Microsoft Office, DocuSign, SharePoint.

  • Versatility and willingness to take on a range of corporate legal matters as business needs evolve.

Other:

  • Construction financing experience is a plus but not required.

  • Admission to practice law in a relevant jurisdiction.
