Position Description

Vantage is looking for a self-starter to be part of the Legal Department. In addition to providing excellent attention to detail, this candidate must bring a proactive, business and solution-oriented mindset to all matters.  In this role, the candidate will work primarily with the Capital Markets team and external financing counsel to review and negotiate lender/bank financing agreements, as well as manage and coordinate the financing transactions to Closing. The candidate will also work closely across departments, including Development, Operations, Procurement and Finance, to draft, review, negotiate and manage vendor contracts (including master agreements, statements of works, variation orders, NDAs etc.) and support the Legal Department in critical transactions (including bank financings and M&A).

Essential Job Functions
  • Financing:

    • Review and negotiate lender/bank financing agreements, as well as all security documents related to and ancillary to the relevant financing in collaboration with the Capital Markets team.

    • Coordinate and manage the closing of the relevant financing transactions.

  • Vendor Contracts:

    • Draft, review, and negotiate commercial vendor contracts (e.g. master agreements, statements of works, variation orders, NDAs etc.), including reviewing proposals and other related documents for validation prior to the issuance of a vendor contract.

    • Collaborate with various departments on the preparation and execution of vendor contracts, and coordinate the management and storage of executed vendor contracts

  • Transactions:

    • Support colleagues in the Legal Department on critical, fast-paced and complex transactions (including M&A)

Job Requirements
  • Minimum 2-3 years prior experience in an established law firm with. Candidate should be financing trained; a background in construction financing is a plus.

  • Experience in (i) reviewing, negotiating and managing financing transactions, (ii) independently drafting, reviewing, negotiating and managing commercial contracts; and (iii) supporting critical legal transactions (e.g. M&A and bank financing transactions)

  • Experience utilizing contract management software (e.g. IronClad), and working with Microsoft applications, DocuSign, SharePoint

  • Strong written and verbal skills

  • Excellent organization, time management and problem-solving skills that enable the candidate to juggle multiple responsibilities at once and consistently meet tight deadlines

  • Strong attention to detail, takes ownership of responsibilities
