Role Summary
We are seeking a highly skilled Senior Manager, Global Corporate Development to drive end to end execution of strategic transactions and projects supporting dentsu Group’s strategy. This role requires a strong combination of strategic analysis, financial acumen, deal execution experience, and cross functional leadership to advance acquisitions, divestitures, partnerships, and investment opportunities. The ideal candidate will play a pivotal role in identifying growth levers, evaluating strategic options, executing transactions, and supporting long-term value creation across the portfolio.
Key responsibilities
- Support portfolio optimisation initiatives, including performance assessments, divestiture evaluations, and value creation tracking.
- Contribute to strategic growth initiatives by analysing market trends, identifying whitespace opportunities, and supporting the development of inorganic growth strategies
- Collaborate with Group Functions and Global M&A teams to support all phases of the M&A lifecycle including strategic screening, due diligence, negotiation, and integration
- Manage the deal pipeline, including liaison with the markets maintaining the Regional pipeline control schedules and reporting to the Dentsu Group M&A team
- Lead the transaction process, from initial lead to post completion integration, for smaller transactions for both buy-side and sell-side engagements
- Develop appropriate deal structures, taking account of the strategic and commercial rational, to maximise returns and mitigate deal risks and meet Dentsu hurdle requirements
- Prepare and review financial investment models, due‑diligence reports, acquisition proposals (APs), and transaction documentation, liaising with external advisors, Group functions and key stakeholders
- Review draft LOIs, SPAs, and legal documents to ensure deal structures are accurately represented and risks are appropriately mitigated.
- Review earn‑out calculations and underlying documentation to ensure accuracy and compliance with agreed mechanisms.
- Oversee post‑acquisition reporting, including 3‑month integration checklists and 12‑month performance reviews.
- Support the development and maintenance of M&A templates, financial models, processes, and best practices.
- Evaluate past transactions to extract insights, lessons learned, and opportunities to enhance future deal execution.
Experience & Qualifications
- Bachelor’s degree in Finance, Accounting, Economics, Business, or a related field.
- Proven experience in corporate development, M&A, investment banking, transaction services, strategy, or a related deal‑focused environment.
- Strong commercial acumen with the ability to evaluate strategic opportunities and advise senior internal stakeholders.
- Advanced financial modelling, valuation, and analytical capabilities, with demonstrated proficiency in assessing complex investment cases.
- Deep understanding of both sell-side and buy-side M&A processes, including deal structures, due diligence, valuation methodologies, and transaction execution.
- Track record of operating effectively in fast‑paced, high‑stakes environments with multiple concurrent workstreams.
- Excellent communication, presentation, and stakeholder management skills, with experience influencing senior leadership and cross‑functional teams.
- Strong judgment, meticulous attention to detail, and the ability to prioritize under tight deadlines.
- Proactive, collaborative mindset with strong critical thinking and problem‑solving skills.
- Professional qualifications (CA and/or CFA) preferred; relevant experience in valuation, deal advisory, or strategy will also be considered.
- Familiarity with the advertising, media, or marketing sectors is advantageous but not essential.
- Passion for contributing to a dynamic, purpose‑driven environment aligned with Dentsu’s values and long‑term vision.
