Job Description
Get to Know the Team:
We are looking for an experienced and Senior Legal Counsel to join our M&A Legal team.
Get to Know the Role:
As a Senior Legal Counsel, you will manage M&A transactions from beginning to closure and beyond, ensuring each step aligns with our corporate goals. Your role is critical in building relationships with internal stakeholders and managing complex projects.
You will report to the Head of Transactions (M&A).
You will be onsite and based in the One North office.
The Critical Tasks You will Perform:
- You will provide legal support, including deal structuring, drafting, and negotiating term sheets.
- You will oversee external transaction counsel and manage deal budgets.
- You will collaborate with teams, including Grab country counsel, compliance, tax, and HR teams.
- You will manage transactions by guiding due diligence, reviewing transaction documents, participating in negotiations, and advising on post-closing matters.
- You will support complex, high-profile, and "high-stakes" legal matters as they arise within the company.
Qualifications
What Skills You will Need:
- Transactional Legal Expertise: A qualified lawyer in SG, MY, or the UK with at least 6 years of post-qualification experience handling M&A transactions in a corporate law firm.
- Negotiation and Drafting Experience: Ability in negotiating and drafting M&A, investment, and joint venture documents.
- Corporate Law Competency: Experience in general corporate matters.
- Communication: Ability to deliver complex legal concepts with teams.
- Budget Management: Experience in managing external counsel and overseeing transaction budgets.
- Analytical thinking : Demonstrated capability to evaluate commercial proposals and devise value-adding or risk-reducing alternatives.
- Collaborative Skills: Experience working with teams and establishing strong internal relationships.
- Sector Knowledge: An understanding of the sector and Grab's business environment, including regulatory, compliance, and operational aspects.
Desirable but not essential:
- In-house or secondment experience managing external counsel.
- International transactional experience.
