Your Role:

As Corporate Counsel, you will serve as a trusted legal advisor, managing commercial contracts, regulatory compliance, and corporate governance for the Asia-Pacific and Japan region. You will work closely with cross-functional teams including Sales, Engineering, and Product to facilitate business growth while mitigating legal risk.

  • Location: Singapore
  • Experience Level: 3–5 years PQE (Post-Qualification Experience)
  • Languages Required: Professional fluency in English and Mandarin (written and spoken)

Key Responsibilities:

Contract Negotiation & Management & Commercial Operations

  • Negotiate a diverse range of agreements, including NDAs, software/SaaS licenses, Professional Services SOWs, contractor, vendor and partnership contracts.
  • Support Go-To-Market (GTM) teams with custom pricing, enterprise licensing agreements (ELAs), and complex deal structures.

Pre-Contract & Bid Management

  • Draft and review all supporting bid documents, including partner authorizations, technical declarations, and country-specific certifications.
  • Conduct legal risk assessments for large bids and draft commercially viable and persuasive, exceptions to standard client terms that protect the company while remaining competitive in the bidding process.
  • Collaborate with Finance, Engineering, Product and Security teams to ensure that bid commitments are operationally feasible.

Compliance: Support the company’s compliance obligations by monitoring changes in laws and regulations and advise internal stakeholders on necessary operational adjustments.
Strategic Advisory: Be the “in territory - first line of legal support” for AP&J, by providing practical, risk-weighted legal advice to functional departments including Sales, Marketing, Channel, Technical Support, Engineering and Product Development.
Entity Management & Co-Sec: Support the management of corporate compliance and board secretarial duties for AP&J entities to ensure they meet all regulatory and governance requirements.

Job Requirements:

  • Qualifications: Bachelor of Laws (LL.B.) or Juris Doctor (J.D.) from a reputable university. Admitted to the bar in Singapore or another common law jurisdiction.
  • Experience: 3–5 years of post-qualification experience (PQE) at a reputable law firm or in-house legal department.
  • Industry Knowledge: Previous experience in a similar role within a technology, SaaS, or cybersecurity company is highly advantageous.
  • Language Skills: Professional fluency in English and Mandarin is mandatory. You must be comfortable drafting, reviewing, and negotiating complex legal contracts in English and be comfortable communicating with Mandarin-speaking stakeholders.
